LaneTally Partner Agreement
Draft. This agreement is being reviewed by a lawyer and is not in effect yet. Parts in [brackets] are filled in then.
Terms version PA-1.0. Between Brightforge Labs LLC, the maker of LaneTally ("LaneTally") and the person or business who accepts it ("Partner").
1. What this is
You share your referral link (lanetally.com/?ref=YOURCODE). When someone you refer starts a LaneTally subscription, you earn a commission. You are an independent partner, not an employee, agent, or legal representative of LaneTally. You cannot make promises on LaneTally's behalf.
2. Commission
You earn 20% of the amount LaneTally actually receives from a referred customer's subscription payments. "Actually receives" means after Apple or other store fees, taxes, and refunds. You earn this for as long as that customer stays subscribed (and you remain an active partner in good standing).
3. Who counts as your referral
A person counts if they open your link, and later sign up or start a trial within 60 days of first opening it, with no other partner link opened before yours (first link wins). The link must be used on the same browser; if tracking is blocked or cleared, we may be unable to credit you. People who already have a LaneTally account do not count.
4. When you get paid
A commission becomes payable 30 days after the customer's payment, to protect against refunds.
- We pay once a month, by hand, through PayPal or Zelle (Zelle only for US partners), to the PayPal email, or the Zelle email or US phone number, you give us on your Partner page.
- The minimum payout is $50. Smaller balances roll over until they reach $50.
- If a payment is refunded or charged back, the related commission is cancelled. If we already paid it, it is deducted from your future payouts.
- You are responsible for any fees your payout service charges you.
5. No self-referral
You may not refer yourself, your own business, or accounts you control or pay for, and you may not use fake or paid-for sign-ups. We can cancel these commissions and end this agreement.
6. Honest advertising and FTC disclosure
You must clearly tell your audience that you earn a commission when they sign up through your link, in a place they will notice (for example at the start of a video and in the description, not hidden among many hashtags). Suggested line: "I earn a commission if you subscribe through my LaneTally link." You must follow applicable advertising laws and platform rules.
7. Only true claims
Say only what is true about the product. Specifically:
- Do not claim LaneTally has AI features, live GPS tracking, a Translate feature, apps in the App Store, or a carrier package (these are not yet available). Those are "coming" at most; describe them as coming or leave them out.
- LaneTally Books gives information only. It is not tax, legal, or accounting advice.
- Do not promise results or income (for example, "this will make you $X").
- You may say the demo at lanetally.com/demo needs no sign-up and no card and uses fake data.
- We may ask you to remove or correct a claim, and you agree to do so promptly.
8. Not allowed
Spam; misleading or fake reviews; pretending to be LaneTally; buying ads on the LaneTally name or brand terms; using LaneTally logos in a way that suggests LaneTally endorses you beyond this partnership; collecting data from sign-ups.
9. Privacy
We will tell you how many sign-ups and paying customers came from your link and your earnings. We will not give you customers' names, emails, or business data. Do not ask customers for it on our behalf.
10. Taxes
You are responsible for your own taxes. Before we can pay you, we need a tax form on file: US partners give a Form W-9; non-US partners give the appropriate Form W-8. If we pay a US partner $2,000 or more in a calendar year (the IRS reporting threshold for payments made in 2026), we expect to report it on Form 1099-NEC, and we may hold payouts until the form is received. We do not give tax advice.
11. Changes
LaneTally may change these terms, the commission rate, or the program for future referrals by giving you notice (email is enough). Commissions already earned on referrals made before the change are not reduced by the change. If you do not agree to the changes, you can stop promoting and end the agreement.
12. Ending
Either side can end this agreement at any time by writing to the other. We may pause or end it immediately for breaking the rules above. After ending, we pay commissions already earned and payable under these terms (above the minimum, or the balance if we choose), except those cancelled for fraud or rule breaking.
13. Other legal points
No guarantee of earnings or of any number of sign-ups. LaneTally's responsibility to you is limited to unpaid commissions owed under this agreement, to the extent the law allows. You may not transfer this agreement. The law of the State of Florida, where Brightforge Labs LLC is organized, applies. This is the whole agreement about referrals and replaces earlier messages on the subject.
You accept this agreement on your Partner page, the first time you sign in.
